These Terms and Conditions ("Terms") govern your access to and use of Materia Themes' website, products, and services (collectively, the "Services"). By visiting our site, purchasing, installing, or using any of our Shopify themes or related content, you agree to comply with and be legally bound by these Terms.

By initiating any purchase on our website—whether it’s a free trial, Growth Plan, or Professional Plan—you explicitly acknowledge that you have read, understood, and accepted our Terms of Service and Privacy Policy. This includes our clear stance on refunds and EU digital product regulations.

At checkout, all policies are presented and must read & accepted before completing the order, completing the order results in accepting the terms and conditions. Once an order is placed, you confirm that you were fully informed and agree that the theme is a digital product and therefore non-refundable under applicable EU consumer law.

If you do not accept these Terms in full, do not access, install, or use any part of the Services.

1. Eligibility & Scope of Use

  • You must be 18 years of age or older or have permission from a legal guardian to use our Services.

  • You must provide accurate and up-to-date information during the purchase process.

  • You agree to use our Services for lawful, business-related purposes only, in accordance with all applicable international, national, and local laws.

  • You may not use our Services in a way that:

    • Violates intellectual property or privacy rights

    • Engages in fraudulent or deceptive conduct

    • Harms Materia’s infrastructure or reputation

2. Theme Licensing and Usage Rights

Upon purchasing a theme, you are granted a revocable, limited, non-exclusive, non-transferable license to use the theme on a single Shopify store per license key.

You may:

  • Modify and customize the theme for your own store

  • Use it to build and operate your Shopify storefront

You may not:

  • Use the theme on multiple Shopify stores without obtaining additional licenses

  • Resell, redistribute, sublicense, or share the theme (in original or modified form)

  • Claim ownership or intellectual rights over the theme

  • Remove or bypass the license activation mechanism

  • Use the theme in illegal or prohibited marketplaces

Violation of these conditions will result in immediate license termination, revocation of support and access, and may lead to legal prosecution under copyright law.

3. Ownership & Intellectual Property

All products sold under Materia Themes—including but not limited to themes, template code, UI/UX elements, documentation, media assets, logos, branding, and written content—are the intellectual property of Materia Themes.

Protected globally under international copyright and trademark laws, you may not:

  • Reproduce, copy, or distribute any part of our product

  • Claim design, code, or creative components as your own

  • Extract theme elements to use elsewhere or create derivative works for resale

4. Payment Terms & Refund Policy

4.1 Payments

  • Payments are processed securely via trusted third-party processors (e.g., Stripe, PayPal, Shopify Payments).

  • You authorize Materia Themes to charge your selected payment method for the full amount at the time of purchase.

  • All prices are displayed in USD (unless stated otherwise) and are inclusive of applicable taxes where required by law.

  • 4.2 Refunds

    Due to the digital and non-tangible nature of our products, we do not offer refunds under normal circumstances. Once access to a theme or license is granted, the product is considered "used."

    Refunds are only granted if:

    • You made a duplicate purchase by accident

    • You encounter a technical problem that cannot be resolved, confirmed by our support team

    Chargebacks are treated as fraudulent unless a valid dispute has first been raised with our team. In such cases:

    • All associated licenses will be deactivated immediately

    • Your account and IP may be blacklisted from future purchases

    • Legal claims for breach of contract and intellectual property violation may be pursued

5. Free Trial, License Activation & Digital Access

  • Some Materia Themes include a free trial period with limited functionality.

  • At the end of the trial, continued usage requires a valid, activated license.

  • Attempting to bypass, reset, or hack the trial or license system is strictly prohibited.

  • Licenses are digital and final; no physical product will be shipped.

You are solely responsible for:

  • Activating the license on the correct store

  • Downloading, backing up, and preserving your license key

6. Updates, Compatibility & Maintenance

  • All license holders receive free lifetime updates for the current theme version they purchased.

  • Updates may include:

    • Shopify API compatibility

    • Speed and SEO improvements

    • Bug fixes and security patches

  • We are not responsible for:

    • Compatibility with third-party apps or outdated Shopify features

    • Custom modifications breaking after updates

7. Support Services

We offer free email-based support (Monday–Friday, within 24–72 business hours) for:

  • Theme installation or setup issues

  • Licensing or activation problems

  • Reported bugs in our code

What’s not covered by free support:

  • Advanced theme customization or bespoke code changes

  • Conflicts caused by third-party apps or plugins

  • Store strategy, marketing, or design consulting

  • Shopify settings or billing support (handled by Shopify)

8. Termination of License or Access

We reserve the right to revoke your license or deny access to future updates or support if:

  • You violate any part of these Terms

  • You commit fraud, piracy, or unauthorized redistribution

  • You open an unjustified chargeback

  • Your actions harm the Materia brand, team, or infrastructure

Upon termination, you must immediately delete all theme files from your store(s) and devices.

9. Limitation of Liability

To the maximum extent permitted by law, Materia Themes shall not be liable for:

  • Business interruption, loss of profit, or data loss

  • Shopify outages or changes beyond our control

  • Theme performance on unsupported browsers or devices

  • Any indirect, consequential, or incidental damages

All Materia themes are provided "as is" and "as available", without warranties of any kind—either express or implied, including but not limited to merchantability or fitness for a particular purpose.

10. Security, Compliance & Data

  • We do not store or process your payment details directly.

  • Any personal data you provide is handled according to our Privacy Policy.

  • We use secure encryption and SSL protection throughout our checkout process.

You agree not to introduce malicious code, bots, scripts, or exploit vulnerabilities in our systems or themes.

11. Fair Use & Brand Integrity

  • You may not falsely associate your store or product as being "built by" or "endorsed by" Materia Themes.

  • You may not copy our theme demo layout or screenshots for misleading marketing or resale.

  • We reserve the right to publicly revoke access or support for users violating ethical, legal, or moral use cases.

12. Third-Party Services

Materia Themes is not responsible for services, apps, or software offered by third parties—including those integrated with or used alongside your Shopify store. Your use of third-party services is entirely at your own risk.

13. Changes to These Terms

We reserve the right to update, modify, or revise these Terms at any time, for any reason, without prior notice.

Any updates will be published on this page, and your continued use of our Services after such changes constitutes your acceptance of the updated Terms.

14. Legal Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of the country, and the competent courts, shall have exclusive jurisdiction over any disputes.

If you are located in the EU, UK, Canada, USA, or elsewhere, you agree that international law on digital goods will also apply, where relevant.

15. Entire Agreement

These Terms represent the entire agreement between you and Materia Themes regarding the Services. They supersede any prior agreements, oral or written.

16. Severability Clause

If any provision in these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
